Thos. Moser Contract Terms & Conditions

Thos. Moser Contract works with institutions, hospitality groups, architects, designers, and project teams to make furniture for spaces that see daily use. Our work is built to order, with attention to material, proportion, durability, and the requirements of each project.

A well-run project depends on a clear scope, timely approvals, thoughtful scheduling, and a shared understanding of the natural materials we work with. The terms below outline our standard commercial practices unless we agree to different terms in writing for a specific project.

Quotes and Pricing

Our quotes are stipulated-sum quotes and are valid for 90 days from the date printed on the quote unless otherwise noted.

Quoted pricing is based on the scope, quantities, dimensions, materials, finishes, and delivery assumptions included in the quote. Any additions, deletions, or changes to the product scope may affect unit pricing or the total project price.

Quotes do not include applicable state or local taxes unless specifically stated.

Payment Terms

Unless otherwise agreed in writing, payment terms are 50% deposit due with order and 50% balance due upon delivery.

We schedule furniture for production once the required deposit is received and all required drawings and finish samples are approved in writing.

For projects with different payment requirements, those terms will be stated in the quote, order acknowledgement, or other written project-specific agreement.

Approvals Before Production

Written approval of all required drawings and finish samples is required before production begins.

Approved drawings and finish samples become the basis for production. Changes requested after approval may affect pricing, schedule, or both.

Finish Samples and Natural Wood Variation

The finish sample provided represents the approved color and finish selection for the project.

Wood is a natural material. Inherent variations in grain pattern, figure, and color tone are unavoidable and are characteristic of quality solid wood and wood veneer products. No two pieces of wood are identical, and the finished product may appear lighter or darker than the sample provided.

Wood also changes naturally with exposure to light, air, and use. Over time, its color and tone will continue to develop. These changes are expected characteristics of the material and are not considered defects.

Variation in grain, figure, color, and the way wood changes over time is a natural characteristic of the material and is not considered a defect. Approval of the finish sample also acknowledges these natural characteristics of wood.

Production and Sourcing

Some projects may call for specialized capabilities or additional production support. When appropriate, we may work with qualified production partners to meet specific design, production, or scheduling requirements.

Whether work is completed in our own shop or with a qualified production partner, the furniture we supply is held to the standards established for the project.

Delivery

Standard deliveries are scheduled for a delivery range between the estimated ship date and the delivered-by date stated in the quote or order acknowledgement.

If your project requires a specific delivery date or time, please let us know as early as possible so we can account for it in planning. Additional charges may apply.

Delivery timing can be affected by approval dates, material availability, production requirements, changes to the approved scope, and site coordination.

Storage

If the customer is unable to receive product on the requested delivery date or within the delivery window outlined in the original order acknowledgement, Thos. Moser Contract will provide storage at no charge for up to 30 calendar days.

For approximate delivery dates or delivery windows, the storage period begins on the last day of the stated delivery window.

The customer must notify Thos. Moser Contract in writing if they are unable to accept delivery as scheduled and must provide an estimated new delivery date.

After the 30-day free storage period, storage will be charged at 1.5% of the stored product value per month, prorated weekly, with a $300 minimum monthly charge.

“Stored product value” means the net selling price of product that remains in storage and has not yet been accepted by the customer.

Storage charges will continue until the customer is ready to receive the product. Any applicable storage charges will be invoiced after the storage period is complete.

Cancellations

Accepted orders may not be cancelled except with written approval from Thos. Moser Contract.

Because each order is made to an approved project scope, deposits on cancelled orders are non-refundable.

Warranty

TMCM, LLC, doing business as Thos. Moser and Thos. Moser Contract, warrants its furniture to be in conformance with the highest standards of workmanship and materials.

Unless a different written warranty applies to a specific project or product, the original purchaser is protected against defects in workmanship for a period of ten years from the date of installation.

In the event of any defect directly attributed to Thos. Moser Contract’s manufacturing process, Thos. Moser Contract will either repair or replace the product free of charge, provided the product is returned or made available as directed by Thos. Moser Contract.

In no event shall liability under this warranty exceed the original purchase price of the product. No deductions for repairs will be allowed without the specific written consent of Thos. Moser Contract. This warranty does not apply to unauthorized repairs.

For component parts not manufactured by Thos. Moser Contract but supplied by others, warranty coverage is limited to the original manufacturer’s warranty. This may include, but is not limited to, lighting, upholstery, and other component parts.

Thos. Moser Contract reserves the right to provide custom, supplemental, or product-specific warranties where appropriate for specific projects, products, or use cases.

Warranty Limitations

Except as specifically provided above, Thos. Moser Contract makes no warranty, guarantee, or representation, either express or implied, as to the design or condition of, or as to the quality or adequacy of, the goods.

Thos. Moser Contract makes no warranty of merchantability or fitness of the goods for any particular purpose. The benefits of any and all implied warranties are waived by the customer.

In no event shall Thos. Moser Contract be liable for any direct or indirect, special, incidental, or consequential damages of any kind relating to or arising from the manufacture or use of the goods.

Project-Specific Terms

Some projects, products, or applications may require different terms or custom warranties. Where Thos. Moser Contract agrees to project-specific terms in writing, those written project-specific terms will apply.
